These Terms of Service (“Terms”) govern your access to and use of the websites, software, APIs, and services (collectively, the “Services”) made available by PuraFi, Inc., a Delaware corporation (“PuraFi,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms.

1. The Services

PuraFi provides AI-native business-payments software, including agentic automation for travel and expense, accounts payable, and global payouts on stablecoin and traditional payment rails.

2. Accounts and eligibility

You must be at least 18 years old and authorized to bind your organization to use the Services. You are responsible for maintaining the security of your account credentials.

3. Customer data and confidentiality

“Customer Data” means data and content you (or users you authorize) submit to the Services. As between you and PuraFi, you retain all rights in Customer Data.

4. Acceptable use

You will not, and will not permit any third party to:

• Use the Services to violate any applicable law or regulation;
• Reverse-engineer, decompile, or attempt to derive source code from the Services;
• Resell, sublicense, or commercially exploit the Services except as expressly permitted;
• Interfere with or disrupt the integrity or performance of the Services;
• Use the Services to send spam, malware, or other harmful content; or
• Use the Services to process payments related to illegal goods or services.

5. Fees and payment

Fees are described in your order form or other written agreement with PuraFi. Unless otherwise stated, fees are non-refundable, payable in U.S. dollars, and exclusive of taxes.

6. Third-party services and payment rails

The Services interoperate with third-party products, including stablecoin networks, banks, card networks, and other payment infrastructure. Third-Party Services are provided by their respective providers under their own terms.

7. Intellectual property

PuraFi and its licensors own all right, title, and interest in and to the Services, including all software, algorithms, models, documentation, and trademarks.

8. Beta features

Some features may be designated as alpha, beta, preview, or evaluation (“Beta Features”). Beta Features are provided “AS IS” and may be discontinued or modified at any time.

9. Term and termination

These Terms apply for as long as you use the Services. Either party may terminate for material breach if the breach remains uncured 30 days after written notice.

10. Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN ORDER FORM, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PURAFI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PURAFI OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

12. Indemnification

You will defend, indemnify, and hold harmless PuraFi and its affiliates from and against any claims arising from your use of the Services in violation of these Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware. The parties agree that any dispute will be resolved by binding arbitration administered by JAMS.

14. General

These Terms, together with any order form or written agreement referencing them, constitute the entire agreement between the parties regarding the Services.
